SVIP BLACK CARD MEMBERSHIP AGREEMENT
This Membership Agreement (“Agreement”) is entered into by and between SVIP Experience Center LLC (“SVIP”) and the undersigned Black Card Member (“Member”) as of the date signed below.
1. Membership Overview
SVIP grants Member access to The Security Center by SVIP (“Center”), a controlled, end-user-driven environment designed to facilitate evaluation, engagement, and business opportunities within the security industry.
Black Card Membership is the only membership level offered by SVIP and the only way to access the Center, its ecosystem, and related opportunities.
Membership includes access to:
● The physical Center (upon opening)
● SVIP Side Events and pre-launch engagement opportunities
● The broader SVIP ecosystem, including events, meetings, and content
SVIP reserves the right to evolve the platform, environment, and associated benefits at its discretion.
2. Term, Benefits, & Renewal
This Agreement begins on the date signed and continues for a 12-month term, unless terminated in accordance with this Agreement.
All memberships, regardless of start date, will align to a unified renewal date of October 1, 2027.
Unless canceled in writing prior to October 1, 2027, the membership will automatically renew for an additional annual term under the same terms and conditions.
Membership benefits are outlined in Exhibit A and may evolve as the Center and SVIP platform scale.
3. Fees & Payment
Membership Fee: $5,000 per year (includes up to 5 users)
● All invoices are due immediately upon receipt
● Payment must be made via ACH or Credit Card
● Member authorizes SVIP to charge provided payment method for outstanding balances
● Fees are non-refundable
● Late or failed payments may result in immediate suspension of access
● SVIP reserves the right to terminate membership for non-payment
4. Access & Use
Member is granted a non-transferable, non-exclusive license to access the Center and participate in SVIP activities.
Member agrees to:
● Use the Center and SVIP platform for professional, lawful purposes only
● Not disrupt operations, events, or other participants
● Not misuse, damage, or attempt to replicate any environment, technology, or concept within SVIP
SVIP reserves the right to revoke access at any time for misconduct or violation of this Agreement.
5. Events, Side Events & Engagement
Member acknowledges that:
● SVIP operates as an active engagement platform, including meetings, events, content, and demonstrations
● SVIP Side Events will occur prior to the Center’s opening and are designed to facilitate early engagement with end users and partners
● Participation in meetings, introductions, or events is not guaranteed
● SVIP does not guarantee pipeline, deal flow, or specific business outcomes under this membership
SVIP may capture photo/video content at events and within the Center for promotional use.
6. Assumption of Risk & Waiver
Member agrees to sign a separate liability waiver prior to accessing the Center.
7. Intellectual Property
All materials, demonstrations, environments, and content within SVIP remain the property of SVIP or its partners.
Member agrees not to copy, distribute, or misuse any proprietary information.
8. Termination
Either party may terminate this Agreement with written notice.
SVIP may terminate immediately for:
● Non-payment
● Misuse of the Center or platform
● Behavior that negatively impacts SVIP, its members, or partners
9. Limitation of Liability
SVIP shall not be liable for any indirect, incidental, or consequential damages arising from Member’s participation in the Center or related activities.
10. General Terms
● Governed by the laws of the State of Texas
● This Agreement represents the entire agreement between parties
● SVIP reserves the right to update terms with reasonable notice
